uStudio Content Uploader User Agreement

This User Agreement (“Agreement”) is entered into by and between uStudio, Inc. (“uStudio”) and the individual or entity using the uStudio Content Uploader (“User” or “you”). This Agreement governs your use of the uStudio Content Uploader service (“Service”) that allows Users to upload content to their uStudio Accounts.

1. Acceptance of Terms

By using the uStudio Content Uploader, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not use the Service.

2. Description of Service

The uStudio Content Uploader allows Users to upload and manage content on their uStudio Accounts. This includes but is not limited to videos, audio files, images, and other media content.

3. User Accounts

To use the Service, you must have a valid uStudio Account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. Content Ownership and Permissions

You retain all ownership rights to the content you upload through the uStudio Content Uploader. By uploading content, you grant uStudio a non-exclusive, royalty-free, worldwide license to use, store, reproduce, modify, and display the content solely for the purpose of providing and improving the Service.

5. Prohibited Content

You agree not to upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. uStudio reserves the right to remove any content that violates this provision.

6. Security

You are responsible for ensuring the security of your account and the content you upload. uStudio employs reasonable security measures, but cannot guarantee the security of your content.

7. Termination

uStudio may terminate or suspend your access to the Service at any time for any reason, with or without notice. You may also terminate your use of the Service at any time by discontinuing your use and deleting your content.

8. Modifications to the Service

uStudio reserves the right to modify, suspend, or discontinue the Service at any time without notice. uStudio shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without any warranties of any kind, either express or implied. uStudio disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

In no event shall uStudio be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States without regard to its conflict of law principles.

12. Changes to the Agreement

uStudio reserves the right to change, modify, or revise this Agreement at any time. Your continued use of the Service after such changes indicates your acceptance of the modified Agreement.

By using the uStudio Content Uploader, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
